Advisor Compensation
Advisors receive equity (0.25\u20130.5%) at the same $0.025/share Board-Determined FMV. Public financing reference remains a $30M floor with a $40M-$50M target range. Monthly retainers of $500\u20132K/month begin after pre-seed funding closes.

Compensation & Equity
Pre-funding: equity-only. Post-funding: market-rate cash + equity.
We are pre-revenue and pre-funding (incorporated July 28, 2025). Until pre-seed closes (target H1 2026), all compensation is equity. Strike price is $0.025/share (Board-Determined FMV), below the public pre-seed floor of $0.030/share and below the current target pricing range of $0.040-$0.050/share. Cash compensation begins after funding.
Equity-Only (Pre-Funding)
Until pre-seed closes (target H1 2026), all compensation is equity-only. Strike price is $0.025/share (Board-Determined FMV). Public investor framing is a $30M floor with a $40M-$50M target range, so exercise costs and upside should be understood against that broader pricing window. Cash compensation begins post-funding.
Meaningful Equity
0.1–1% equity for engineers (1M–10M shares). Senior engineers: 0.4% = $80M at IPO baseline. Exercise cost: $100,000. The $0.025 FMV strike sits below the public pre-seed floor and well below the target range.
Post-Funding Cash
Market-rate base salary begins after pre-seed close. Flexible fiat, tokenized, or hybrid structures. Location-adjusted (APAC, EU, US).
